Interpretation and Definitions

Interpretation

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

  • Device means any device that can access the Service such as a computer, a cellphone or a digital tablet.

  • Feedback means feedback, innovations or suggestions sent by You regarding the attributes, performance or features of our Service.

  • Service refers to the Website and the bookkeeping, tax, and related financial services provided by the Company.

  • Terms of Service (also referred as "Terms") mean these Terms of Service that form the entire agreement between You and the Company regarding the use of the Service.

  • Third-party Social Media Service means any services or content (including data, information, products or services) provided by a third-party that may be displayed, included or made available by the Service.

  • Website refers to Fix My Books, accessible from www.fixmybooks.ca

  • You means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

Acknowledgment

These are the Terms of Service governing the use of this Service and the agreement that operates between You and the Company. These Terms of Service set out the rights and obligations of all users regarding the use of the Service.

Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms of Service. These Terms of Service apply to all visitors, users and others who access or use the Service.

By accessing or using the Service You agree to be bound by these Terms of Service. If You disagree with any part of these Terms of Service then You may not access the Service.

You represent that you are over the age of 18. The Company does not permit those under 18 to use the Service.

Your access to and use of the Service is also conditioned on Your acceptance of and compliance with the Privacy Policy of the Company. Our Privacy Policy describes Our policies and procedures on the collection, use and disclosure of Your personal information when You use the Application or the Website and tells You about Your privacy rights and how the law protects You. Please read Our Privacy Policy carefully before using Our Service.

Scope of Services

The Company provides bookkeeping, tax filing, financial reporting, and related services as described on the Website or in a separate engagement letter ("Services"). Services may include, but are not limited to, managing financial records, reconciling bank statements, processing payroll, preparing tax returns, and providing financial advice.

Services are provided on an as-needed or retainer basis, as agreed. Any changes to the scope must be in writing and may incur additional fees.

Data Sharing and Referrals

With Your express consent, obtained via opt-in on our forms or in writing, We may share limited personal information (such as name, email, and phone number) with vetted third-party bookkeeping or financial partners for referral purposes, e.g., if We are at capacity or for specialized services.

Such sharing is governed by Our Privacy Policy and complies with PIPEDA. Risks, mitigations, and withdrawal options are detailed in the Privacy Policy. Sharing is not required for core Services.

Payments and Fees

Fees for Services are as quoted on the Website or in Your engagement letter. Payment is due upon invoice, via accepted methods (e.g., credit card, bank transfer).

We may require deposits or retainers. Late payments incur interest per month as per the terms outlined in Your engagement letter. All fees are non-refundable except as per cancellation policy.

Cancellation and Termination

You may cancel Services with written notice as per the terms outlined in Your engagement letter. We may terminate for breach (e.g., non-payment) with notice as per the terms outlined in Your engagement letter.

Upon termination, You receive all completed work; outstanding fees are due immediately. Refunds for unused portions of retainers are pro-rated.

Confidentiality and Privacy

We treat all Your information as confidential and comply with PIPEDA. See Our Privacy Policy for details on data handling, sharing, and security.

You grant Us permission to access Your financial data as needed for Services.

Intellectual Property and Feedback

All materials We create remain Our property until paid. You grant Us a license to use Feedback royalty-free.

Limitations of Liability

To the extent permitted by law, Our liability is limited to fees paid for the affected Services. We are not liable for indirect, consequential, or punitive damages.

We disclaim warranties beyond those expressly stated. Services are provided "as is."

Dispute Resolution

Disputes are resolved through good-faith negotiation, then mediation, and if needed, arbitration in Toronto, Ontario, under ADR Institute of Canada rules.

Governing Law

These Terms are governed by the laws of Ontario and Canada, without regard to conflict of laws.

Severability and Waiver

If any provision is invalid, others remain enforceable. Waiver of one breach does not waive others.

Electronic Acceptance

Using the Service or signing electronically constitutes acceptance. Electronic signatures are binding under Canadian law.

Changes to These Terms

We may update Terms with 30 days' notice. Continued use constitutes acceptance.
